Vona Partners Programme

These Terms of Service ("Terms") govern your participation in the Vona Partners Programme and your use of any tools, resources, or services Vona makes available to Partners. They form a legally binding agreement between you and Vona AI Ltd. Please read them carefully before registering. By registering for the Programme, you agree to be bound by these Terms.

These Terms apply to the current offline phase of the Vona Partners Programme, during which there is no self-serve Partner Platform. All programme management, reporting, and payouts are handled directly by Vona. When a Partner Platform is launched in the future, Partners will be notified and asked to accept updated Terms that reflect that platform's functionality.

1.  The Basics

1.1  Key Definitions

"Vona," "us," "we," or "our" means Vona AI Ltd., registered in England and Wales (Company No. 15629158), with offices at 151 Wardour Street, London, W1F 8WE (c/o Two Matts LLP).

 

"You" or "Partner" means any individual or organisation that has registered for and been approved to participate in the Programme.

 

"Programme" or "Vona Partners Programme" means Vona's referral and affiliate programme through which Partners promote Vona's Services and earn Commissions on qualifying purchases.

 

"Services" means Vona's storytelling platform, including Vona Studio and any related digital or print products offered by Vona.

 

"Programme Code" means the unique discount and tracking code assigned to you upon approval (e.g. CHARITY10), used by your referred community members when accessing or purchasing Vona's Services.

 

"Referred User" means a new user of the Services who registers or makes a purchase using your Programme Code.

 

"Commission" means the revenue share payable to you on qualifying purchases made by your Referred Users, as described in Section 3.

 

1.2  Privacy

When you participate in the Programme, we collect personal data about you. Please review our Privacy Notice at https://www.vonastory.ai/privacy for details on what data we collect, how we use it, and your rights.

 

1.3  Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes before they take effect. Continued participation in the Programme after updated Terms take effect constitutes your acceptance of the changes.


 

2.  The Programme

2.1  How It Works

Upon approval, you will receive a unique Programme Code. You share this code with your community — via your newsletter, social media, events, or any other communication channel. When a community member uses your code to register or purchase from Vona, that purchase is attributed to you and you become eligible to earn a Commission.

 

2.2  Approval

Registration for the Programme does not guarantee acceptance. Vona reviews each application and may approve or decline at its sole discretion. We aim to respond to all applications within 48 hours.

 

2.3  Your Obligations as a Partner

As a Partner, you agree to:

•       Promote Vona honestly and accurately, consistent with any guidance we provide.

•       Not make any representations about Vona or its Services beyond what Vona has authorised in writing.

•       Not engage in spam, unsolicited mass communications, or deceptive marketing practices.

•       Not facilitate fake, duplicate, or self-referrals.

•       Not offer incentives to third parties to use your code unless expressly authorised by Vona.

•       Comply with all applicable laws, including data protection laws, when sharing or promoting your Programme Code.

•       Promptly notify Vona of any suspected misuse of your Programme Code.

 

2.4  No Technical Setup Required

The Programme requires no technical integration, platform access, or software installation on your part. Your sole tool is your Programme Code.


 

3.  Commissions and Payouts

3.1  Commission Rate and Eligible Products

You will earn a Commission on Net Revenues generated by your Referred Users when they purchase eligible Vona products ("Rewardable Products") within the applicable reward period. Your Commission rate and the list of Rewardable Products will be confirmed in writing at the time of your approval and may be updated by Vona with reasonable notice.

 

"Net Revenues" means the cash amounts actually received by Vona from each Referred User in connection with Rewardable Products, less any refunds, discounts, returns, applicable taxes, and pass-through costs.

 

3.2  Reward Period

Commissions are earned on purchases made by a Referred User within 12 months of their initial registration via your Programme Code. Purchases made after this window do not qualify.

 

3.3  Monthly Calculation

Commissions are calculated on a calendar-month basis (the "Earning Month"). At the end of each Earning Month, Vona tallies all qualifying purchases attributed to your Programme Code and calculates the Commission due.

 

3.4  Cooling Period

Following each Earning Month, Commissions are held for 45 days to allow for refunds, cancellations, or adjustments. Commissions remain unconfirmed during this period.

 

3.5  Audit and Approval

After the Cooling Period, Vona reviews all pending Commissions within a 15-day window. Vona may approve, decline, or place on hold any Commission at its discretion. Only approved Commissions proceed to payout.

 

3.6  Payout

Approved Commissions are paid on the first day of the third calendar month following the Earning Month. For example, Commissions earned in January are paid on 1 April.

 

During the current offline phase, Vona processes payouts by direct bank transfer. You are not required to initiate a withdrawal request. Vona will contact you separately to collect your bank details in a secure manner prior to your first payout.

 

Vona will send you a monthly statement by email showing: books ordered via your code, gross revenue, your Commission amount, and cumulative total to date.

 

3.7  Minimum Payout Threshold

If your approved Commission in any given month is below £50 (or the equivalent in your currency), it will be carried forward and added to the following month's balance. Payouts are only processed once the accumulated balance reaches £50.

 

3.8  Bank Details and Payout Method

To receive payouts, you must provide Vona with valid bank account details. Vona will request these details separately after approval. If you do not provide valid bank details within 90 days of your first approved Commission, those Commissions will be held for a further 90 days before being forfeited.

 

3.9  Taxes

All Commission amounts stated are gross. You are solely responsible for declaring and paying any taxes arising from your participation in the Programme, including income tax and National Insurance contributions where applicable. Vona may withhold amounts required by law and may request appropriate tax documentation before processing payment.

 

3.10  Expenses

Any costs you incur in connection with your participation in the Programme — including marketing, printing, or distribution costs — are your sole responsibility. Vona does not reimburse expenses.


 

4.  Use Restrictions

You may not, and must not allow any third party to:

•       Use your Programme Code for fraudulent, deceptive, or unlawful purposes.

•       Manufacture fake registrations or purchases to inflate Commission earnings.

•       Misrepresent Vona, its products, or the terms of the Programme to any third party.

•       Use Vona's intellectual property (name, logo, brand assets) outside the scope permitted by these Terms or any written guidance from Vona.

•       Attempt to circumvent or manipulate the Commission tracking or calculation process.


 

5.  Intellectual Property

5.1  Vona's Property

Vona retains all rights, title, and interest in its brand, Services, platform, content, and any marketing materials provided to you. Nothing in these Terms transfers any ownership rights to you.

 

5.2  Permitted Use of Marketing Materials

During the term of your participation, you may use Vona's name, logo, and any marketing materials we provide, solely for the purpose of promoting the Programme in accordance with our guidelines. You must stop using these materials immediately upon request or upon termination of your participation.


 

6.  Confidentiality

You may receive non-public information about Vona's business, pricing, or plans in the course of the Programme. You agree to keep such information confidential and not to disclose it to any third party, other than as strictly necessary to carry out your obligations under these Terms.


 

7.  Representations

7.1  Vona's Representations

Vona represents that it is duly incorporated under English law, has the authority to enter into these Terms, and that doing so does not conflict with any third-party obligation or applicable law.

 

7.2  Your Representations

By accepting these Terms, you represent that:

•       You are at least 18 years old and have the legal capacity to enter into a binding agreement (or, if registering on behalf of an organisation, you have authority to bind that organisation).

•       Your participation in the Programme does not violate any applicable law or any obligation you have to a third party.

•       All information you provide at registration is accurate and complete.

•       You hold all rights, consents, and licences necessary to share any information you provide to Vona.


 

8.  Indemnification

You agree to indemnify, defend, and hold harmless Vona and its affiliates, directors, officers, employees, and agents from and against any claim, loss, damage, or expense (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) any misrepresentation you make about Vona or its Services; (c) your violation of any applicable law; or (d) infringement of any third-party rights arising from your promotional activities.


 

9.  Disclaimers and Liability

9.1  Statutory Rights Not Affected

Nothing in these Terms excludes or limits Vona's liability for: (a) death or personal injury caused by Vona's negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under the laws of England and Wales, including under the Unfair Contract Terms Act 1977. The disclaimers and limitations in this Section apply only to the extent permitted by applicable law.

 

9.2  No Guarantee of Earnings

Vona does not guarantee that participation in the Programme will generate any particular level of Commissions or referrals. The amount you earn depends on factors outside Vona's control, including the purchasing behaviour of your community members. You accept that Vona makes no representation as to the financial return you may receive from the Programme.

 

9.3  Services Provided With Reasonable Care

Vona will provide the Programme and any associated services with reasonable care and skill, as required by the Supply of Goods and Services Act 1982. Subject to Section 9.1 and to the extent permitted by law, Vona does not warrant that the Programme will be uninterrupted, error-free, or continuously available. Vona's obligation is to take reasonable steps to maintain the Programme's operation, not to guarantee a specific outcome or level of availability.

 

9.4  Limitation of Liability

Subject always to Section 9.1, and to the fullest extent permitted by the laws of England and Wales:

•       Vona shall not be liable for any indirect, consequential, special, or incidental loss or damage arising from your participation in the Programme, including loss of profits, loss of anticipated revenue, loss of data, or loss of goodwill, whether or not Vona has been advised of the possibility of such losses.

•       Vona's total aggregate liability to you under these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the total Commissions actually paid to you by Vona in the three months preceding the event giving rise to the claim.

 

For the purposes of this Section, "indirect or consequential loss" has the meaning given to it under English law, including losses which were not in the reasonable contemplation of both parties at the time these Terms were entered into.

 

9.5  No Professional Advice

Any guidance, templates, or materials provided by Vona through the Programme are for informational purposes only. They do not constitute legal, financial, tax, or professional advice. You should obtain independent professional advice appropriate to your circumstances.

 

9.6  Reasonableness

You acknowledge that the limitations of liability in this Section 9 are reasonable and reflect the commercial basis on which the Programme is offered. The Programme is provided to you at no cost, and the limitations in this Section reflect that commercial context.


 

10.  Term and Termination

10.1  Term

These Terms take effect when you register for the Programme and remain in force until terminated.

 

10.2  Termination by You

You may withdraw from the Programme at any time by notifying us at partners@vonastory.ai. We will process your request promptly.

 

10.3  Termination by Vona

Vona may suspend or terminate your participation at any time by providing three days' written notice. Vona may terminate your participation immediately and without notice if you: (a) breach these Terms; (b) engage in fraudulent or illegal behaviour; or (c) take any action that could materially harm Vona's reputation or business interests.

 

10.4  Effect of Termination

Termination does not affect any entitlement to Commissions earned for purchases made prior to the termination date, subject to the Cooling Period and Audit process in Section 3. Commissions in progress at termination will be processed normally.

 

10.5  Modification of the Programme

Vona may modify or discontinue the Programme at any time. We will give reasonable advance notice of material changes. Commissions earned prior to any discontinuation will be honoured.


 

11.  Transition to the Partner Platform

These Terms are designed for the current offline phase of the Programme. When Vona launches a self-serve Partner Platform, we will notify all active Partners and invite them to transition to an updated set of Terms that reflect the platform's functionality. You will not be required to transition, but continued participation after the platform launch will require acceptance of the updated Terms.


 

12.  Force Majeure

Neither party will be liable for delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including acts of God, natural disasters, acts of war or terrorism, pandemic, civil unrest, or failure of third-party infrastructure. The affected party must notify the other as soon as reasonably practicable. Payment obligations may be delayed but not permanently excused under this clause.


 

13.  Relationship Between the Parties

13.1  Independent Commercial Relationship

The relationship between you and Vona under these Terms is a commercial relationship between independent parties. Nothing in these Terms creates, or shall be construed as creating, any relationship of employer and employee, worker and engager, principal and agent, partnership, or joint venture between you and Vona.

 

13.2  No Employment or Worker Status

You are not an employee or worker of Vona within the meaning of the Employment Rights Act 1996, the Workers' Rights Act, or any analogous legislation. Accordingly, you are not entitled to any employment or worker rights, including but not limited to: paid holiday, sick pay, minimum wage, pension auto-enrolment, or redundancy payments.

 

The parties acknowledge that HMRC may apply the off-payroll working rules (commonly known as IR35) to certain contractor engagements. For the avoidance of doubt, the nature of this Programme — in which you promote Vona independently, using your own methods and channels, with no obligation on Vona to provide work and no obligation on you to accept or perform any specific volume of promotion — is not intended to constitute a contract of employment or service within the meaning of those rules. However, each party remains responsible for making their own assessment of their tax position and complying with applicable HMRC guidance.

 

13.3  No Mutuality of Obligation

There is no mutuality of obligation between you and Vona. Vona is under no obligation to provide any minimum volume of work, users, or revenue to you, and you are under no obligation to perform any minimum volume of promotional activity. Each Commission opportunity arises only when a qualifying purchase is made by a Referred User and is approved by Vona in accordance with Section 3.

 

13.4  Control

You have full discretion over how, when, and through which channels you promote Vona and share your Programme Code. Vona does not direct, supervise, or control your methods of promotion, subject only to the conduct requirements in Section 2.3. This autonomy is a material feature of the independent commercial relationship between the parties.

 

13.5  Tax and National Insurance Responsibilities

You are solely responsible for registering with HMRC as appropriate, and for accounting for and paying all income tax, National Insurance contributions, VAT (if applicable), and any other taxes or levies arising from your participation in the Programme and any Commissions received. Vona will not deduct tax or National Insurance from Commission payments unless required to do so by law.

 

In the event that any tribunal, court, or competent authority determines that you are an employee or worker of Vona in connection with this Programme, you agree to indemnify Vona against any additional tax, National Insurance, penalties, or related costs that Vona incurs as a direct result of such determination, except to the extent that such liability arises from Vona's own breach of these Terms.


 

14.  General

14.1  Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms (including non-contractual disputes) shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

14.2  Notices

Official notices under these Terms should be sent by email. Notices to Vona should be sent to partners@vonastory.ai. Notices are deemed received one business day after transmission.

 

14.3  Entire Agreement

These Terms, together with any written confirmation provided at the time of your approval, constitute the entire agreement between the parties regarding the Programme and supersede all prior discussions or agreements on the same subject matter.

 

14.4  Assignment

Vona may assign its rights and obligations under these Terms to any third party. You may not assign your rights or obligations without Vona's prior written consent.

 

14.5  Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions will continue in full force and effect.

 

14.6  Waiver

A failure by either party to exercise or enforce any right under these Terms shall not constitute a waiver of that right, nor shall it prevent that party from exercising that right on any future occasion.
